Terms and Conditions

1. Introduction

Welcome to Zeeks – Art for Geeks Ltd. By using our website and services, you agree to comply with and be bound by the following terms and conditions. Please review these terms carefully. If you do not agree to these terms, you should not use our services or website.

2. Parties

These Terms and Conditions ("Agreement") are entered into by and between Zeeks – Art for Geeks Ltd ("Service Provider") with an address at 10 Derek Vivian Close, Pocklington, York, YO42 2PL, and you, the user of this website and our services ("Client").

3. Services and Pricing

3.1. Zeeks – Art for Geeks Ltd offers a variety of services which may be detailed on our website or agreed upon in a separate written agreement.

3.2. The cost of services will be provided either as:

  • Payment Option A

  • Payment Option B

3.3. Any specific technology, hardware, software, and third-party applications to be used must be agreed upon prior to commencing services. Zeeks will not be responsible for any compatibility issues with non-agreed software.

4. Invoices and Payment Terms

4.1. Invoices are sent every 2-4 weeks.

4.2. Payments must be made within 30 days of receiving the invoice.

4.3. In case of non-payment, Zeeks reserves the right to claim interest (8% over the Bank of England base rate) and £75GBP compensation for debt recovery costs under Late Payment legislation. Interest will accrue daily, and a separate invoice will be issued for this. Services will be withheld until payment is received.

4.4. Estimates are valid for 30 days from the date indicated.

4.5. Projects abandoned, postponed, or unfinished due to the Client will be billed in full. Projects incomplete due to Zeeks will be billed proportionately.

 

5. Work Completion

5.1. Zeeks will strive to complete work by the agreed time. However, delays may occur due to factors beyond our control, such as third-party delays or illness. Zeeks cannot be held responsible for such delays.

5.2. In case of delays, Zeeks will notify the Client as soon as possible and adjust the timetable by mutual written agreement via e-mail.

5.3. For severe delays, alternate products of equivalent specification, value, and quality may be offered. The Client can accept the alternative, wait for the original products, or cancel the contract as detailed below, in line with the Consumer Code and the [Supply of Goods and Services Act 1982].

5.4. If delays exceed 8 weeks from the draft handover date, either party may close the project if no further agreement is reached, and an invoice for outstanding payments will be issued.

6. Liability

6.1. Zeeks – Art for Geeks Ltd shall not be liable for any indirect, special, consequential, or incidental damages, including but not limited to, loss of profits or business interruption.

6.2. Zeeks is not responsible for loss, damage, or injury resulting from the misuse of our services or goods by the Client or third parties.

6.3. Data, code, or content provided by Zeeks may have limitations and potential inaccuracies. While reasonable efforts are made to ensure accuracy, absolute precision is not guaranteed.

6.4. The Client is solely responsible for the use, adaptation, or implementation of any deliverables provided by Zeeks.

6.5. Zeeks is not liable for any claims or disputes arising from the use or misuse of services, goods, code, or data provided.

7

. Term of Agreement

7.1. This Agreement is effective from the date of acceptance and will end on the specified end date or upon the completion of services and payment.

7.2. The Agreement will not be automatically renewed.

8. Termination

8.1. This Agreement may be terminated if either party breaches its terms or by providing 28 days' written notice via e-mail.

8.2. Upon termination, the Client must return all products, materials, and content received from Zeeks within 14 days.

8.3. The Client bears all costs associated with returning items, including packaging and shipping.

9. Relationship of the Parties

9.1. This Agreement is non-exclusive, and the Parties are considered independent contractors.

10. Expenses and Materials

10.1. The Client is responsible for all travel, equipment, and related expenses unless otherwise agreed.

10.2. Project progress handover commences after the first invoice payment.

10.3. All materials must be returned within 30 days of project completion, unless otherwise agreed.

11. Confidentiality

11.1. All communications between Zeeks and the Client are confidential and shall not be disclosed to third parties, except as required by law or for criminal investigations.

12. Intellectual Property

12.1. Intellectual property remains with Zeeks. Both parties may use and market products as specified in their respective agreements.

12.2. Zeeks will be credited as the author on all publications using or building on delivered goods or services.

12.3. Software and code are provided under a BSD-3 License unless otherwise agreed.

13. Maintenance

13.1. Maintenance is not provided unless a separate agreement is signed.

​

14. Amendments

14.1. Any amendments to this Agreement must be in writing and signed by both parties.

​

15. Assignment

15.1. Responsibilities under this Agreement cannot be assigned without mutual written consent.

16. Entire Agreement

16.1. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.

​

17. Severability

17.1. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in force.

​

18. Governing Law

18.1. This Agreement is governed by the laws of the United Kingdom.

​

19. Alternative Dispute Resolution

19.1. Any disputes arising from this Agreement will be submitted to mediation in accordance with UK laws.
